    Roles and Responsibilities of Company Secretary

    In compliance with Sections 89/15 and 89/16 of the Securities and Exchange Act B.E. 2551 (2008) (No. 4), the Board of Directors has appointed:

    Ms. Poramaporn Chamnongsuk

    as the Company Secretary

    Date of Appointment: 11 November 2015
    The appointment was approved by the resolution of the Board of Directors’ Meeting No. 3/2015.

    To perform duties as required by law, with the following roles and responsibilities:

    1. Organize and coordinate meetings of the Board of Directors, Executive Committee, and Shareholders’ Meetings in compliance with the Company’s Articles of Association and applicable regulations.
    2. Ensure that the Company and the Board of Directors comply with relevant laws, regulations, corporate governance requirements, Board and shareholders’ resolutions, and principles of good corporate governance.
    3. Support directors and executives in obtaining knowledge and attending training programs relevant to their duties as directors and specialized board members.
    4. Arrange orientation programs, training sessions, and provide necessary information to both existing and newly appointed directors to facilitate the effective performance of their duties.
    5. Advise the Board of Directors and management on applicable rules, regulations, and governance requirements that they should be aware of.
    6. Coordinate and facilitate the performance evaluation of the Board of Directors.
    7. Prepare, maintain, and safeguard the Company’s important records and documents, including the register of directors, notices of meetings, minutes of Board of Directors’ meetings and shareholders’ meetings, annual reports, and reports on conflicts of interest and related interests of directors and executives.
